Bard Closes Non Brokered Private Placement
August 19, 2014 - Vancouver, British Columbia, Canada: Bard Ventures Ltd. (the "Company" or "Bard") is pleased to announce that further to its news release dated August 12, 2014, it closed an oversubscribed non-brokered Private Placement for 8,150,000 units (the "Units") of the Company at a price of $0.05 per unit for gross proceeds of up to $407,500 (the "Offering").
Each unit will consists of one (1) common share (the "Common Share") and one (1) transferrable share purchase warrant (the "Warrant"). Each Warrant will entitle the holder thereof to purchase one (1) additional Common Share of the Company on or before August 18, 2019 at a price of $0.05 per common share.
The Company paid a no finder's fee in connection with this private placement. The securities are subject to a four (4) month hold period that expires on December 19, 2014.
As a subscriber to the Private Placement, Eugene Beukman, a director and officer of Bard, acquired indirectly, 1,000,000 Units. The participation by an insider in the Private Placement is considered to be a "related party transaction" as defined under Multilateral Instrument 61-101 ("MI 61- 101"). The transaction is exempt from the formal valuation and minority shareholder approval requirements of MI 61-101, as neither the fair market value of the securities being issued nor the consideration being paid exceeds 25% of Bard's market capitalization.
Gross proceeds raised from the sale of the Units will be used for exploration expenditures on the Company's properties in British Columbia and for general corporate purposes.
